Compensation: $30.00 to $38.50 hourly

Oversee and support the District Board, Finance and Budget Committee and all Sub Committees and Ad hoc committee as assigned by the Board. Facilitates meetings, records actions and votes of each Board member; preparation of minutes, orders, resolutions, and legal notices in accordance with statutory requirements; distribution and posting of minutes, ordinances, and resolutions to County departments and other interested parties; keeps status records of all items submitted for agendas, including those to be rescheduled. Ensures that administrative records and transcripts of matters heard by the Board are completed in a timely and accurate manner. Maintain the District website in accordance with statutory requirements

Develops instructions for the completion of agenda packets for items coming to the Board; conducts trainings on procedures, format, content, and organization related to the preparation of agenda material; provides feedback and review on draft agenda packets; advises department staff on legal requirements and time lines with regard to specific issues and agenda items; advises and works directly with the Executive team on the coordination of activities, Board reporting requirements and staff presentations for monthly/bi-monthly Board meetings and Finance Committee meetings.

Develop and Maintain the Board Portal Meeting Books and Files for each meeting.

Advise the Board of Directors, Finance and Budget Committee, staff and consultants on procedural requirements for taking actions and all Board related procedures.

Manages the maintenance of the records of the Board of Directors all other committees, manage the maintenance of minutes, resolutions, ordinances, appeals, licenses, permits, and other documents that come under the jurisdiction of the Clerk.

Acts as a liaison to Board, staff and the public on behalf of the full Board regarding issues on past, current or future agendas; replies to a variety of inquiries and requests for information requiring discretion, knowledge and interpretation of functions, and policies, and Board procedures

Plan, direct, coordinate, and review the work plan for assigned staff; assign work activities, projects, and programs; review and evaluate work products, methods, and procedures; meet with staff to identify and resolve problems.

Provide or coordinate staff training; work with new employees on Board procedures.

Perform complex tasks that require a thorough knowledge of the Brown Act, Public Records Act, hospital operations, procedures, policies, rules, regulations, and appropriate state and legislative codes governing the activities of the Board.

Act as a resource and representative to consultant or contractor regarding administrative and Board operational policies, procedures, and guidelines.

Provide responsible staff assistance to the Chair of the Board with self-assessment and Board education as well as new member onboarding and education. Provide recommendations on strategies to resolve issues; recommend modifications to functional areas, policies, and procedures as appropriate.

Attend and participate in detail oriented seminars, workshops; webinars and podcasts to maintain awareness of new trends and developments in the field of public and business administration; incorporate new developments as appropriate as they pertain to the Brown Act and Public records Acts.

Respond to and resolve difficult and sensitive inquiries and complaints.

Position is REMOTE but must be able to be close enough to drive as needed to Sonoma County for meetings and other work functions.

Job Requirements:
County organization and departmental relationships, programs, services and other functions; government codes, county policies, procedures, ordinances, laws and other applicable governing documents which relate to the operation and management of the Board of Directors; modern office practices and procedures; the procedures, work practices, format and routines associated with clerk and executive assistant responsibilities to a wide variety of Boards.

Brown Act, Public Records Act, County government programs, services, activities, regulations, and administrative proceedings.

Functions and operating procedures of a District Board, legal requirements for various matters routinely brought before the Board of Directors.

Preparation and format of various legal documents that relate to District Board functions and are required by County legislative bodies.

Office procedures, methods, and equipment including computers and applicable software applications such as word processing, spreadsheets, and databases.

Data processing methods and procedures including proficiency with software applications; and operation of standard office equipment.

Principles and practices of budget preparation and administration.

Principles of supervision, training, and evaluation.

Methods and techniques of technical, administrative, and financial report preparation and presentation.

Organizational, functional, and administrative structure of public agencies including the role of an elected Board and volunteer committee and commission members.

Capabilities and applications of electronic management information systems including Board Portal Software

Pertinent federal, state, and local laws, codes, and regulations.


Oversee and participate in the management of a comprehensive program that includes a series of interrelated projects or functional areas of significant depth and complexity.

Plan, organize, direct, coordinate, and evaluate assigned programs.

Plan, schedule, and review the work of assigned staff.

Analyze problems, identify alternative solutions, project consequences of proposed actions, and implement recommendations in support of goals.

Prepare clear and concise administrative and financial reports.

Participate in the preparation and administration of budgets and development of financial statements and reports.

Work effectively under pressure, meet deadlines, and adjust to changing priorities.

Develop and implement work procedures to meet changing needs, including utilizing modern computer technology.

Direct an accurate and efficient minute-taking process; maintain the Board’s history.

Maintain confidentiality of sensitive information.

Understand the organization of District government, the functions of the hospital; each department and their relationship of the Office of the Clerk of the Board.

Understand program objectives in relation to departmental goals and procedures.

Make presentations and represent the office to a variety of boards, groups, other agencies and business, and the public.

Analyze problems, identify alternative solutions, project consequences of proposed actions and implement recommendations in support of goals.

Research, analyze, and evaluate new service delivery methods and techniques.

Interpret and apply federal, state, and local policies, laws, and regulations.

Operate a variety of office equipment including personal computers and related peripheral equipment and software applications.

Communicate clearly and concisely, both orally and in writing.
